Terms of Service

These terms apply to the Metadata Express app and this website. Metadata Express is operated by Adam Obirek ("we", "us"). By downloading, installing or using the app you agree to these terms. If you don't agree, don't use the app.

1. Your licence to use the app

While you're in a free trial or have an active subscription, we give you a personal, non-exclusive, non-transferable licence to install and use Metadata Express on up to two computers that you own or control, for your own photography work (including work for your employer or clients).

You may not: share, sell or publish licence keys or codes; use one subscription on more computers than it allows; copy, modify, reverse engineer or redistribute the app except where the law says you may; remove notices; or try to get around the trial, licence checks or other technical limits.

2. Free trial

New users can try every feature free for 5 days without a payment card. When the trial ends you'll need a subscription to keep using the app. One trial per person and computer.

3. Subscriptions and payment

Subscriptions are sold monthly or yearly at the prices shown on our website. Our order process is run by Stripe, which is the Merchant of Record for all orders. Stripe takes payment, handles sales tax and VAT, and provides customer service for billing questions and returns. Their terms also apply to your purchase.

Subscriptions renew automatically at the end of each period until you cancel. You can cancel anytime from the billing page linked in your receipt or in the app (About & License > Manage Subscription). After cancelling, the app keeps working until the end of the period you've paid for. Refunds are covered by our Refund Policy.

We may change prices for future periods. We'll tell you before a change affects your subscription, and you can cancel before it does.

4. Licence checks

The app checks your subscription with our licence service, usually once a day when you're online, and keeps working offline for up to 7 days between checks. If a subscription ends, is refunded, or a key is shared beyond its limit, the app stops working on the affected computers. See our Privacy Policy for the information these checks send.

5. Your photos and content

You keep all rights to your photos, rosters, captions and other content. The app works on files on your computer; we don't receive or store your photos or content.

You're responsible for the content you create with the app and for checking it before you publish or deliver it. Athlete suggestions, captions and score-sheet phrases (including those from AI Suggest) can be wrong, so always review them. You're responsible for having the rights to the photos, rosters and other material you use with the app.

6. Updates

We may release updates that add, change or remove features. The app can download and install updates for you. Some updates may be required to keep using the app or the licence service.

7. Third-party software and services

Metadata Express includes open-source software and AI models that are provided under their own licences (listed with the app). Some features use third-party services, such as Stripe (purchases), Cloudflare (licence checks), GitHub (updates) and Hugging Face (the one-time AI Suggest download). Lightroom and other products mentioned are trademarks of their owners; Metadata Express is not affiliated with them.

8. Disclaimer

The app is provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the app will be error-free or uninterrupted, or that it will never alter or damage files. Keep backups of your photos.

9. Limitation of liability

To the fullest extent allowed by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data, photos or business, arising from your use of the app. Our total liability for any claim is limited to the amount you paid for Metadata Express in the 12 months before the claim. Some places don't allow these limits, so they may not fully apply to you.

10. Ending these terms

You can stop using the app at any time. We may suspend or end your access if you break these terms, for example by sharing licence keys. Sections 5, 8, 9 and 12 continue after these terms end.

11. Changes to these terms

We may update these terms. We'll post the new version here with a new effective date, and for significant changes we'll let subscribers know by email or in the app. Continuing to use the app after a change means you accept the new terms.

12. Governing law

These terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-law rules, except where the law where you live gives you rights that can't be waived.
